Why Standard Contracts Fail for AI Avatars
Most AI avatar licensing deals are being done on adapted entertainment contracts — talent agreements, brand endorsement deals, or image rights licences originally drafted for photography, film, or advertising. These contracts were not written for AI and leave five critical questions unanswered. Each one has become a source of active disputes.

Who owns the trained model?
A standard image rights licence says nothing about whether the licensee can use the licensed materials to train an AI model — and if they can, who owns the resulting model weights. The model is a new asset not contemplated by the original licence.

What can the avatar say and do?
A licence for “promotional content” does not define whether the AI avatar can make political statements, endorse competitor products, simulate the person in sexual content, or generate outputs the real person would find objectionable. Without explicit content restrictions, the licensee can claim broad permission.

A trained AI model containing a person’s likeness or voice continues to exist after the licence terminates. A standard termination clause requiring the licensee to “cease use” does not address what happens to model weights — can they be retained internally? Must they be deleted? Who verifies deletion?

When an AI avatar says something defamatory, misleading, or harmful — who is responsible? Core Licence Terms: Scope, Restrictions, Approval Rights
The scope section of an AI avatar licence does more work than in any other type of IP agreement. It defines not just what the licensee can do today, but the boundaries of an AI system whose outputs are not fully predictable. Every term below should be explicit — vague scope language in an AI avatar agreement creates the disputes that end up in court.

Which elements of likeness are licensed Define each separately
List every element explicitly: photographic likeness (still and moving image), voice (speaking and singing), name, signature, recognisable physical characteristics, and communication style. Do not use catch-all language like “all aspects of the licensor’s persona” — this creates ambiguity about what the licensee can and cannot train the model on. If voice is licensed but not visual likeness, state this expressly. Each element has different commercial value and different training requirements.

Permitted use cases — and prohibited use cases Both required
Define both what is permitted and what is explicitly prohibited. Permitted use examples: “branded advertising content for [named products] on [named platforms]”, “virtual concert appearances in [named events]”, “customer service avatar for [named service]”. Prohibited use examples: political content, content depicting illegal activity, sexual content, endorsement of competitor products, statements attributing views to the licensor, content targeting minors. The prohibited list should be non-exhaustive — include a general “content that would damage the licensor’s reputation” catch-all in addition to the specific prohibitions.
Drafting note: The prohibited list is as important as the permitted list. Courts interpret unlisted uses as permitted unless the contract indicates otherwise. For AI avatar agreements, assume the licensee will try to do everything not explicitly prohibited.

Approval rights over AI-generated outputs Licensor’s core protection
The licensor’s most important protection in an AI avatar deal is approval rights over what the avatar produces. Define: (a) whether the licensor has pre-approval rights before any content is distributed; (b) whether approval is required per-piece or per-campaign; (c) the approval timeline (e.g., licensor has 5 business days to approve, silence is not approval); (d) what happens to content the licensor rejects; and (e) an expedited process for time-sensitive commercial content. For high-profile individuals, a dedicated content reviewer appointed by the licensor is increasingly standard in major deals.

Territory, platform, and exclusivity Commercial value driver
Territory and exclusivity determine the commercial value of the licence. Define: which geographic territories the licence covers; which platforms and distribution channels; whether the licence is exclusive or non-exclusive for each territory/platform combination; and whether exclusivity prevents the licensor from licensing to competitors or from creating their own AI avatar. For AI avatars, “platform” should be defined to include specific named platforms and categories — not just “digital media”, which is too broad.

Model Ownership and Training Data Rights
The trained AI model is a separate asset from the licence. When a licensee uses a person’s likeness to train an AI model, they create something new — a set of model weights that can produce infinite outputs at zero marginal cost, that persist after the licence ends, and that may be worth substantially more than the original licence fee. Who owns this asset, and what controls apply to it, are the most commercially important questions in an AI avatar agreement.

Negotiate that AI-generated outputs already distributed before termination may remain in circulation for a defined wind-down period. The alternative — requiring immediate removal of all existing content — creates significant operational complexity and should be avoided where possible.

When an AI avatar produces harmful, inaccurate, or objectionable content, three parties may be exposed: the licensor (whose likeness was used), the licensee (who operates the model), and the platform (where the output was distributed). Termination, Deletion, and Post-Term Obligations
Termination provisions in AI avatar agreements require more careful drafting than in traditional IP licences. The issue is not just “stop using the content” — it is what happens to a trained AI model that persists independently of the licence, outputs already distributed, sublicences granted to platforms, and the ongoing monitoring obligation once the deal ends.

The verification problem
Deletion certification is only as good as the licensor’s ability to verify it. A written certification from the licensee is a necessary starting point — but it does not verify that model weights have actually been deleted from all environments, including cloud storage, backup systems, and sublicensee infrastructure. For high-value deals, include a right to commission an independent technical audit of the licensee’s systems to verify deletion. This right is increasingly standard in major entertainment AI agreements.

The contract must allocate responsibility for implementing this disclosure — typically to the licensee as the system operator — and specify the consequences if the disclosure is omitted or inadequate.
